Review flag: this document contains jurisdiction and entity placeholders marked [REVIEW]. A qualified legal adviser must confirm them before publication. This text is provided for informational purposes and is not legal advice.

01Acceptance of these terms

By accessing this website or engaging ShelfPopping, operating as [REVIEW: registered legal entity name and company registration number], you agree to these terms. If you do not accept them, do not use the site or our services. Where a signed statement of work conflicts with these terms, the statement of work prevails.

02Services and scope

We provide packaging design services including structural design and dielines, transit protection engineering, graphic systems and artwork, compliance panel layout, material strategy and print production management.

Each engagement is defined by a written proposal setting out deliverables, milestones, the number of revision rounds included, assumptions and fees. Work outside that scope is quoted separately and requires written approval before it begins.

03Client responsibilities

You agree to provide accurate product specifications, brand assets, regulatory copy and approvals within the agreed schedule, and to hold all necessary rights in materials you supply to us.

You are responsible for verifying regulatory and labelling compliance for each market in which the packaging is sold, including ingredient declarations, warnings, weights and measures and country-specific marks, before approving artwork for production.

04Approvals and production

Production begins only after you approve final artwork and, where supplied, a physical colour target and mockup. Approval is your confirmation that content, dimensions and regulatory information are correct. We are not liable for errors present in approved files, nor for variation introduced by third-party converters, printers or substrates outside our control. Reasonable colour variation between proof and press run is inherent to printing.

05Fees, invoicing and taxes

Fees, currency and payment schedule are set out in the proposal. Unless stated otherwise, a deposit is payable before work commences and the balance on delivery of production files. Invoices are due within [REVIEW: payment term, for example 14 or 30 days] of the invoice date.

All fees are exclusive of applicable taxes, duties and third-party costs such as tooling, proofing, laboratory testing and shipping, which are recharged at cost. Late payment may attract interest at the rate permitted by [REVIEW: applicable late payment legislation].

06Intellectual property

You retain ownership of your trade marks, brand assets and product information. On receipt of payment in full, ownership of the final approved deliverables created specifically for you transfers to you.

We retain ownership of our pre-existing methods, templates, unselected concepts and know-how, and grant you no rights in them beyond their incorporation in the delivered work. Third-party assets such as licensed typefaces, stock imagery and illustration remain subject to their own licences, which you must obtain or maintain.

07Portfolio use and confidentiality

Both parties will keep confidential information disclosed during an engagement confidential and use it only for the purposes of the project. After public launch we may display the work in our portfolio and marketing unless you notify us in writing that you require an embargo or permanent exclusion.

08Warranties and disclaimers

We warrant that services will be performed with reasonable skill and care by suitably qualified personnel. Except as expressly stated, the website and its content are provided on an “as is” basis and we disclaim all other warranties to the extent permitted by law. Estimates of transit performance, shelf impact or cost savings are professional opinions, not guarantees of commercial outcome.

09Limitation of liability

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be limited. Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill, or the cost of reprinting production runs approved by you. Our total aggregate liability arising from an engagement is limited to the fees paid to us under that engagement in the [REVIEW: liability cap period, for example the 12 months preceding the claim].

10Suspension and termination

Either party may terminate an engagement on 14 days’ written notice, or immediately if the other party commits a material breach that is not remedied within 14 days of written notice. On termination you pay for all work completed and all committed third-party costs. We may suspend work where an invoice is overdue.

11Governing law and disputes

These terms are governed by the laws of [REVIEW: governing jurisdiction], and the courts of [REVIEW: courts with exclusive jurisdiction] have exclusive jurisdiction over any dispute. The parties will attempt to resolve disputes in good faith before commencing proceedings.

12Changes and contact

We may amend these terms by publishing an updated version on this page; the version in force when your proposal is signed governs that engagement. Questions about these terms should be sent to webmaster@draftix.online.
